Terms of Use for XBae

1. Acceptance

By accessing or using XBae ("the Service", "we", "us"), you agree to these Terms of Use together with our Privacy Policy, which together form the entire agreement. If you do not agree, do not use the Service.

2. Eligibility & Age

You must be at least 18 years old and have full legal capacity. The Service contains adult content and is for adults only. By using the Service you represent that you are 18 or older.

3. Accounts

The Service supports Google sign-in only. You are responsible for all activity under your account and for keeping it secure. We may restrict or terminate your account for any violation of these Terms.

4. Description of the Service

XBae is an AI companion platform that lets you create and customize virtual AI characters and chat with them through text, voice, and images. The Service includes adult/NSFW capabilities. All characters are fictional and all output is AI-generated.

5. User Content & License

You retain ownership of the messages and material you submit and of the content generated for you. Solely to provide the Service, including your companions' memory of past conversations, you grant us a limited license to store and process this content (see Privacy Policy §4).

6. Likeness & Consent

When you upload material containing a real person, you represent that the person is yourself or that you have their explicit, documented consent. You may not create characters based on, or sexualized content of, celebrities, public figures, or any real individual without authorization.

7. Prohibited Content & Conduct

Regardless of feature or format, you may not use the Service to create, request, or distribute:
1. Any sexual or nude content involving minors, or characters that are or appear to be minors, whether real, fictional, cartoon, or AI-generated — zero tolerance;
2. Non-consensual intimate imagery (NCII), deepfake pornography, or any sexualization of a real person without consent;
3. Unauthorized sexualization or misleading deepfakes of celebrities/public figures;
4. Bestiality, incest, corpses, severe violence/gore, or real sexual violence/abuse;
5. Human trafficking, sex trafficking, or solicitation;
6. Terrorism, extremism, or hate (race/religion/gender/orientation, etc.);
7. Others' private or identity information, or impersonation;
8. Content infringing copyright, trademark, or other IP;
9. Anything unlawful in your jurisdiction.

Violations may result in content removal, permanent account termination, evidence preservation, and reporting to law enforcement/authorities where required (e.g., NCMEC in the US).

8. Intellectual Property

The Service software, interface, and trademarks belong to NEROVIA DIGITAL LTD. Except for your own content, you may not copy, modify, or commercially exploit them without permission.

9. Payments & Credits

- The Service uses a one-time payment / credit model. No subscriptions, no auto-renewal.
- Payments are handled by third-party PCI-compliant payment processors; we do not store your card details.

10. Refunds

Because credits are digital and delivered instantly, purchases are generally non-refundable. However, we provide a full refund if:
- you request it within 30 days of purchase; and
- you have used less than 20% of the purchased credits.
If a generation fails due to a platform error, we automatically re-credit the corresponding amount (not a cash refund). To request a refund, email [email protected] with your account email, order/transaction ID, and reason. Please contact us before filing a chargeback.

11. AI-Generated Content

Characters and their messages, voices, and images are generated by AI and do not depict or represent real people. AI output may be inaccurate or inappropriate and is not professional advice of any kind.

12. 18 U.S.C. §2257

All visual content on the Service is AI-generated and does not record actual sexually explicit conduct of real people; it therefore falls under the record-keeping exemption of 18 U.S.C. §2257 / §2257A.

13. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of fitness for a particular purpose. To the maximum extent permitted by law, we are not liable for indirect or consequential damages; our total liability is limited to the amount you paid in the preceding 12 months.

14. Your Compliance Responsibility

You are solely responsible for the legality of the material you submit and the content you generate, and you warrant compliance with the laws of your jurisdiction. We do not warrant the legality of content on your behalf.

15. Termination

We may suspend or terminate your access at any time for breach of these Terms or applicable law, and may preserve evidence and report to authorities where required.

16. Reporting & Copyright

To report content that violates these Terms, non-consensual content, or copyright infringement, email [email protected]. Copyright notices should include a description of the work, its location (URL), a good-faith statement, and your contact details. We act on valid reports promptly.

17. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Cyprus, and disputes are submitted to the courts of Cyprus.

18. Changes

We may update these Terms from time to time; material changes will be posted here with a new date. Continued use constitutes acceptance.
